3. HOW SERVICE REQUEST INFORMATION IS SHARED

One of ServyLink’s primary purposes is to connect Consumers with independent local Service Providers. When you submit a service request, you authorize ServyLink to share information reasonably necessary to respond to your request with an appropriate Service Provider participating in the ServyLink Network.
Information shared may include:

  • your name;
  • telephone number;
  • email address;
  • service address or project location;
  • requested service;
  • project description;
  • photographs;
  • and other information you voluntarily provide in connection with your request.

The Service Provider may then contact you directly regarding your request. ServyLink does not sell the same service request to multiple competing Service Providers as part of its current service-request model.
ServyLink may select another appropriate Service Provider when reasonably necessary, including when the originally selected Service Provider is unavailable, does not serve the requested service or territory, is no longer participating in ServyLink, or is otherwise unable or ineligible to receive the request.

Submitting a service request does not obligate you to hire a Service Provider.

4. INDEPENDENT SERVICE PROVIDERS

Service Providers participating in ServyLink are independent businesses.
Once information has been provided to a Service Provider for purposes of responding to your request, that Service Provider may independently collect or process information in connection with estimates, appointments, contracts, payments, or services.
The Service Provider’s independent privacy practices are not controlled by ServyLink.

5. COOKIES AND SIMILAR TECHNOLOGIES

ServyLink may use cookies, pixels, tags, scripts, local-storage technologies, and similar technologies to  operate the website, understand visitor behavior, improve performance, measure marketing effectiveness, and protect the platform.
These technologies may collect information regarding your browser, device, IP address, approximate location, pages visited, referring source, advertisements viewed or interacted with, and actions taken on ServyLink.
Depending on the technology and applicable law, some cookies may require your consent.

Where required, ServyLink may provide cookie controls allowing users to manage certain categories of cookies.

6. GOOGLE ANALYTICS

ServyLink may use Google Analytics and related Google measurement technologies to understand how visitors interact with the ServyLink website.
Google Analytics may collect information such as:

  • pages viewed;
  • time spent on pages;
  • browser and device information;
  • approximate location;
  • referring sources;
  • website interactions;
  • and other usage and performance information.

ServyLink may use this information to understand website performance, improve content, identify traffic sources, and improve the ServyLink experience.
Google’s collection and processing of information through its technologies are also subject to Google’s applicable terms and privacy practices.

7. GOOGLE ADS AND ADVERTISING TECHNOLOGIES

ServyLink may use Google Ads, Google conversion tracking, remarketing technologies, and related advertising services.
These technologies may help ServyLink:

  • measure whether advertisements generate website visits or service requests;
  • understand advertising performance;
  • create audiences;
  • display advertising to individuals who previously interacted with ServyLink;
  • and improve marketing campaigns.

Google and its advertising technologies may use cookies or similar identifiers to provide measurement and advertising functionality.
Where required by applicable law, users will be provided appropriate choices regarding advertising cookies and targeted advertising.

8. META PIXEL AND META ADVERTISING

ServyLink may use the Meta Pixel and related technologies provided by Meta Platforms to measure
advertising performance and understand interactions between ServyLink and advertisements displayed through Meta services, including Facebook and Instagram. These technologies may allow ServyLink and Meta to understand actions such as website visits, page views, form interactions, or other conversion events. Information collected through these technologies may be used for advertising measurement, audience creation, remarketing, campaign optimization, and related advertising purposes.
Meta’s independent collection and processing of information are governed by Meta’s applicable privacy terms and policies.

9. TARGETED ADVERTISING

ServyLink may use information collected through cookies, pixels, or similar technologies to measure advertising and, where permitted, provide or facilitate interest-based or targeted advertising.
Under the privacy laws of certain states, some advertising activities may be considered “targeted advertising,” “sharing,” or a “sale” of Personal Information even when ServyLink does not receive money in exchange for the information.
Where applicable law provides a right to opt out of such activities, ServyLink will provide an appropriate method for exercising that right.

10. GOOGLE RECAPTCHA AND SECURITY TECHNOLOGIES

ServyLink may use Google reCAPTCHA or similar technologies to help protect forms, accounts, and website features against spam, bots, fraudulent submissions, abuse, and unauthorized activity.
These technologies may analyze technical and behavioral information to determine whether an interaction is likely to have been performed by a human user.
Information processed by these technologies may be subject to the applicable provider’s privacy policy and terms.

11. STRIPE AND PAYMENT PROCESSING

Consumers generally pay independent Service Providers directly for work performed by those Service Providers.
ServyLink may use Stripe or another third-party payment processor to process payments from Service Providers for ServyLink subscriptions, listings, territory rights, marketing services, or other paid ServyLink services.
When a payment is made, the payment processor may collect information such as:

  • name
  • billing information;
  • payment-card information;
  • transaction information;
  • and other information required to process the transaction.

Payment-card information may be submitted directly to the payment processor rather than stored by
ServyLink.

The payment processor’s collection and use of information are also subject to its own privacy policy and terms.

12. OTHER SERVICE PROVIDERS AND TECHNOLOGY VENDORS

ServyLink may use third-party companies that help us operate and grow the platform, including providers
of:

  • website hosting;
  • cloud storage;
  • website development;
  • form processing;
  • email services;
  • analytics;
  • advertising;
  • cybersecurity;
  • spam prevention;
  • payment processing;
  • database management;
  • customer support;
  • and other technology and business services.

These providers may process information on our behalf or independently as necessary to provide their
services.

13. PROFESSIONAL ADVISORS, LEGAL DISCLOSURES AND BUSINESS
TRANSACTIONS

We may disclose information to attorneys, accountants, insurers, auditors, consultants, and other professional advisors when reasonably necessary.
We may also disclose information when reasonably necessary to comply with applicable law or legal process, investigate fraud or illegal activity, enforce our agreements, protect our rights or property, protect another person’s rights or safety, or defend against legal claims.
Information may also be transferred in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer of ServyLink, or similar business transaction.

14. WE DO NOT SELL SERVICE REQUESTS TO MULTIPLE
CONTRACTORS

ServyLink’s current business model differs from traditional shared-lead marketplaces.
Our goal is to connect a Consumer’s service request with an appropriate local  Service Provider associated with the applicable service and territory rather than distributing the same request to multiple contractors who compete for the lead.
This does not prevent ServyLink from redirecting a request to another appropriate Service Provider when reasonably necessary to assist the Consumer.
For purposes of privacy laws, this business practice is separate from whether certain advertising technologies may legally be classified as a “sale” or “sharing” of Personal Information.

15. TELEPHONE AND TEXT COMMUNICATIONS

ServyLink’s current service-request model does not require Consumers to consent to marketing telephone calls or marketing text messages from ServyLink as a condition of submitting a service request.
When a Consumer submits a request, the Consumer’s telephone number may be provided to the Service Provider selected to receive the request.
The Service Provider may contact the Consumer directly regarding the requested service.
Independent Service Providers are responsible for their own communications and compliance with laws applicable to their calls, text messages, emails, and marketing practices.
If ServyLink later introduces SMS marketing, automated calling, AI calling, call recording, or similar communication services, this Privacy Policy and applicable consent disclosures may be updated before those practices are implemented.

16. EMAIL COMMUNICATIONS

ServyLink may send emails concerning service requests, accounts, partnerships, subscriptions, platform updates, security, or other operational matters.
Where permitted by law, ServyLink may also send marketing emails.
Marketing emails will include an available method to unsubscribe where required.
Unsubscribing from marketing communications does not necessarily prevent transactional, security, legal, or service-related communications.

17. REVIEWS AND PUBLIC INFORMATION

ServyLink may allow Consumers to submit ratings, reviews, testimonials, photographs, or other content regarding Service Providers.
Content submitted for publication may become publicly visible.
Users should not include sensitive Personal Information in reviews or other public submissions.

18. THIRD-PARTY WEBSITES AND SERVICES

ServyLink may contain links to Service Provider websites, social-media platforms, payment processors, mapping services, or other third-party websites. ServyLink does not control the privacy practices of independent third parties.
Information provided directly to a third party is governed by that party’s privacy practices.

19. DATA RETENTION

We retain Personal Information for as long as reasonably necessary for the purposes for which it was
collected, including to:

  • provide ServyLink Services;
  • process and maintain records of service requests;
  • manage Service Provider relationships;
  • maintain business and transaction records;
  • comply with legal obligations;
  • resolve disputes;
  • prevent fraud and abuse;
  • enforce agreements;
  • and protect our legal rights.

Retention periods may vary depending on the type of information and applicable legal or business
requirements.

20. DATA SECURITY

ServyLink uses reasonable administrative, technical, and organizational safeguards designed to protect Personal Information from unauthorized access, disclosure, alteration, misuse, or destruction.
However, no website, Internet transmission, database, or storage system can be guaranteed to be completely secure.
ServyLink therefore cannot guarantee the absolute security of information.

21. CHILDREN’S PRIVACY

ServyLink is not intended for children under eighteen.
We do not knowingly seek to collect Personal Information directly from children for purposes of submitting service requests or participating as Service Providers.
If we learn that information has been collected from a child in violation of applicable law, we may take reasonable steps to delete it.

22. YOUR PRIVACY RIGHTS

Depending on where you live and applicable law, you may have rights concerning your Personal Information, which may include the right to:

  • request access to certain Personal Information;
  • request correction of inaccurate information;
  • request deletion of certain Personal Information;
  • obtain information regarding certain disclosures;
  • opt out of targeted advertising;
  • opt out of certain sales or sharing of Personal Information;
  • withdraw certain consent;
  • and appeal certain privacy-request decisions where required by law.

These rights may be subject to legal exceptions and identity-verification requirements. ServyLink may request information reasonably necessary to verify a privacy request.

23. SALE AND SHARING OF PERSONAL INFORMATION

ServyLink does not sell Consumer service requests to multiple competing Service Providers under its current business model. ServyLink shares information with the Service Provider selected to respond to a Consumer’s request because that disclosure is necessary to facilitate the service requested by the Consumer.
ServyLink may also disclose information to technology vendors and service providers that support ou operations.
Separately, the use of advertising technologies such as Google Ads and Meta Pixel may constitute “selling,” “sharing,” or targeted advertising under certain state privacy laws even when no money is exchanged for Personal Information. Where those laws apply, ServyLink will provide notices, consent mechanisms, or opt-out rights as required.

24. COOKIE AND ADVERTISING CHOICES

Users may be able to control certain cookies through their browser settings or through cookie- management tools made available on ServyLink.
Where required by applicable law, ServyLink may provide options to reject or disable non essential advertising or analytics cookies.
Users may also have options directly through Google, Meta, or other technology providers to manage personalized advertising preferences.
Blocking certain cookies may affect portions of the website’s functionality.

25. DO NOT TRACK AND PRIVACY PREFERENCE SIGNALS

Some browsers and devices provide privacy preference signals.
ServyLink will respond to legally required opt-out preference signals where applicable. Because standards and legal requirements concerning these signals continue to develop, ServyLink may update its practices as required.

26. UNITED STATES OPERATIONS

ServyLink is operated by Fusion Digital 365 LLC in the United States and is currently focused primarily on connecting Consumers and Service Providers in North Carolina.
Information processed through ServyLink may be stored or processed in the United States. As ServyLink expands into additional states, additional state-specific privacy disclosures or rights may apply.

27. CHANGES TO THIS PRIVACY POLICY

Fusion Digital 365 LLC may update this Privacy Policy as ServyLink develops, adds new features, changes technology providers, expands into additional markets, or changes its information practices.
When this Policy is updated, the “Last Updated” date will be revised.
Additional notice regarding material changes will be provided when required by applicable law.

SERVYLINK TERMS OF USE

Last Updated: September 15, 2026

These Terms of Use (“Terms”) govern your access to and use of the ServyLink website, platform, network, listings, profiles, content, features, communications, and related services (collectively, the “ServyLink
Services”). ServyLink is a brand and service operated by Fusion Digital 365 LLC, a North Carolina limited liability
company (“Fusion Digital 365,” “ServyLink,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the ServyLink Services, submitting information through ServyLink, contacting a Service Provider through ServyLink, or participating in the ServyLink Network, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you should not use the ServyLink Services.

1. SERVYLINK’S ROLE

ServyLink provides an online platform designed to help homeowners, property owners, businesses, and other consumers (“Consumers”) discover and connect with independent local businesses and service
professionals (“Service  Providers”). ServyLink may provide Service Providers with listings, profile pages, websites or web pages, marketing exposure, search visibility, lead-generation opportunities, communication tools, and other promotional technology-related services.
ServyLink does not itself perform the home improvement, landscaping, construction, maintenance, repair, or other services advertised or offered by independent Service Providers unless expressly stated otherwise.
Service Providers participating in the ServyLink Network are independent businesses. Nothing contained in these Terms or in a Service Provider’s participation in the ServyLink Network creates an employment, agency, franchise, partnership, joint venture, fiduciary, or similar relationship between ServyLink and any Service Provider.

2. RELATIONSHIP BETWEEN CONSUMERS AND SERVICE PROVIDERS

When a Consumer contacts, hires, or otherwise engages a Service Provider found through ServyLink, any agreement for services is directly between the Consumer and that Service Provider.
The Service Provider, not ServyLink, is responsible for matters relating to the services it provides, including estimates and proposals, pricing and payment terms, scheduling, contracts, materials, permits, licenses, insurance, employees and subcontractors, workmanship, warranties, property damage, completion of services, refunds, and customer service relating to the work performed.
ServyLink is not a party to the service agreement between a Consumer and Service Provider unless ServyLink expressly agrees otherwise in writing. Consumers should independently review and approve all estimates, contracts, pricing, warranties, and other terms offered by a Service Provider before authorizing work.

3.SERVYLINK NETWORK AND SERVICE PROVIDER SELECTION

ServyLink is designed to highlight local service businesses and help Consumers identify Service Providers serving their communities.

ServyLink may establish criteria that businesses must satisfy to participate in certain portions of the ServyLink Network. Those criteria may vary by service, geographic market, membership level, or other factors and may change over time.

ServyLink reserves the right, in its discretion and subject to applicable law, to approve, reject, suspend, remove, or discontinue the participation or listing of any Service Provider.

Participation in the ServyLink Network does not constitute a guarantee by ServyLink regarding a Service Provider’s future performance.

4.“SERVYLINK VERIFIED”

Certain Service Providers may be identified as “ServyLink Verified” or with similar ServyLink verification terminology or badges.

A ServyLink Verified designation means only that ServyLink has determined that the Service Provider satisfied the verification criteria established by ServyLink at the time of verification.

Depending on the applicable service and market, verification criteria may include confirmation of certain business information, identity, insurance, business operations, or other criteria established by ServyLink.

A ServyLink Verified designation is not a guarantee, warranty, certification, or representation that a Service Provider will perform services safely, properly, timely, legally, or to a Consumer’s satisfaction.

Licensing and insurance requirements vary by jurisdiction and type of work. Consumers remain responsible for determining whether a Service Provider possesses the licenses, permits, insurance coverage, qualifications, or other credentials appropriate for the specific work being requested.

ServyLink may periodically request updated information from Service Providers but does not guarantee continuous monitoring of every insurance policy, credential, employee, subcontractor, or business condition.

ServyLink may revoke or modify a verification designation at any time.

5.NO GUARANTEE OF SERVICE PROVIDERS

ServyLink may help Consumers discover Service Providers, but Consumers retain responsibility for deciding whether to hire a particular business.

To the fullest extent permitted by law, ServyLink does not guarantee the quality of a Service Provider’s work, availability, acceptance of a project, accuracy of an estimate, final project price, completion date, customer satisfaction, continuous maintenance of credentials, or the absence of disputes between Consumers and Service Providers.

Consumers should use reasonable judgment when selecting and hiring any Service Provider.

6. SERVICE PROVIDER INFORMATION

Service Providers are responsible for maintaining accurate information supplied to ServyLink.

A Service Provider represents that information it provides concerning its business, services, service areas, licenses, insurance, experience, photographs, credentials, pricing, availability, and other business information is truthful and not misleading.

ServyLink may rely upon information supplied by Service Providers and third-party sources.

ServyLink does not guarantee that every piece of information appearing on a Service Provider’s listing, website, or profile is complete, current, or error-free.

7.LEADS AND CONSUMER REQUESTS

Consumers may submit requests for services through ServyLink.

By submitting a request, the Consumer authorizes ServyLink to collect, use, and transmit information reasonably necessary to respond to the request and connect the Consumer with an appropriate Service Provider.

This information may include the Consumer’s name, telephone number, email address, project information, approximate or service location, photographs, messages, and other information voluntarily submitted.

Submission of a request does not create a contract for services and does not obligate a Consumer to hire a Service Provider.

Likewise, ServyLink does not guarantee that every request will result in a response, estimate, appointment, sale, or completed project.

8.TERRITORIES AND SERVICE CATEGORIES

ServyLink may offer participating Service Providers placement or participation rights associated with particular geographic territories, cities, service categories, or combinations thereof.

Certain ServyLink programs may provide one participating Service Provider with exclusive or limited placement for a particular service category within a designated territory.

Any such rights are governed by the Service Provider’s separate agreement, subscription, order, or program terms with ServyLink.

Territorial or category exclusivity does not constitute a guarantee of traffic, inquiries, leads, customers, projects, sales, revenue, profitability, search rankings, or other business results.

ServyLink may define or modify geographic boundaries, service classifications, platform structure, or coverage areas as reasonably necessary to operate and develop the platform, subject to any express contractual commitments made to a Service Provider.

9.MARKETING, SEO AND AI SEARCH VISIBILITY

ServyLink may create, publish, maintain, and optimize websites, pages, profiles, listings, content, and other digital assets intended to improve the online visibility of participating Service Providers.

These efforts may include traditional search-engine optimization (“SEO”), local search optimization, content development, and optimization intended to improve discovery through artificial-intelligence-powered search engines, assistants, recommendation systems, directories, and other digital platforms.

Search engines, AI platforms, social networks, directories, advertising networks, and other third-party services operate independently from ServyLink.

Their algorithms, policies, ranking systems, and technologies may change at any time.

Accordingly, ServyLink does not guarantee search-engine rankings, placement in AI-generated responses, traffic volume, lead volume, conversion rates, customers, revenue, profitability, or any particular marketing result.

10.USER ACCOUNTS

Certain ServyLink features may require users to create an account.

Users agree to provide accurate, current, and complete information and to keep account information reasonably updated.

Users are responsible for maintaining the confidentiality of their account credentials and for activities occurring through their accounts.

Users may not sell, transfer, share, or permit unauthorized persons to use their accounts.

11. ACCEPTABLE USE

Users may not use ServyLink to violate applicable law; provide fraudulent or intentionally misleading information; impersonate another person or business; harass, threaten, or abuse another person; interfere with ServyLink’s operation or security; gain unauthorized access to accounts or systems; introduce malicious software; scrape or systematically extract ServyLink data without authorization; circumvent security measures; improperly copy or commercially exploit ServyLink content; manipulate reviews or ratings; submit fraudulent leads or inquiries; or otherwise use ServyLink for unlawful, deceptive, abusive, or fraudulent purposes.

ServyLink may restrict or terminate access for violations of these Terms.

12.REVIEWS AND USER CONTENT

ServyLink may permit Consumers, Service Providers, or other users to submit reviews, photographs, comments, descriptions, project information, responses, or other content (“User Content”).

Users submitting User Content represent that they have the legal right to provide that content and that it does not violate another person’s intellectual-property, privacy, publicity, contractual, or other legal rights.

Reviews must reflect genuine experiences and may not be knowingly false, fraudulent, defamatory, manipulated, or submitted in exchange for undisclosed compensation.

ServyLink may moderate, reject, remove, or restrict User Content that violates these Terms, applicable law, or ServyLink policies.

ServyLink is not obligated to publish every review or submission.

13.LICENSE TO USER CONTENT

By submitting User Content to ServyLink, you grant Fusion Digital 365 LLC a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, adapt, format, and use that content as reasonably necessary to operate, market, promote, and improve the ServyLink Services.

You retain any ownership rights you otherwise possess in your User Content.

You represent that you possess the rights necessary to grant this license.

14.SERVYLINK INTELLECTUAL PROPERTY

The ServyLink name, logos, verification badges, designs, website layout, software, graphics, original content, branding, databases, and other proprietary materials are owned by or licensed to Fusion Digital 365 LLC and may be protected by copyright, trademark, and other intellectual-property laws.

5

No user receives ownership rights in ServyLink intellectual property by using the ServyLink Services.

ServyLink trademarks, badges, and branding may not be reproduced, altered, sold, sublicensed, or used in a misleading manner without authorization.

Service Providers permitted to display ServyLink branding or verification badges receive only the limited permission provided by ServyLink and must discontinue such use when that permission or their participation ends.

15.THIRD-PARTY WEBSITES AND SERVICES

ServyLink may contain links to websites, payment processors, social networks, mapping services, Service Provider websites, or other services operated by third parties.

ServyLink does not control those third parties.

Use of third-party websites or services may be subject to separate terms and privacy policies.

ServyLink is not responsible for the content, availability, security, products, services, or practices of third party websites or platforms.

16.PAYMENTS TO SERVICE PROVIDERS

Unless expressly indicated otherwise, payments for work performed by a Service Provider are made directly between the Consumer and Service Provider.

ServyLink is not responsible for billing disputes, deposits, refunds, chargebacks, financing arrangements, warranties, collection matters, or payment disagreements arising from services independently provided by a Service Provider.

17.DISPUTES BETWEEN CONSUMERS AND SERVICE PROVIDERS

Consumers and Service Providers are encouraged to communicate directly and attempt in good faith to resolve disputes concerning work performed.

ServyLink may, but is not obligated to, assist with communications or review complaints involving Service Providers participating in the ServyLink Network.

Any assistance provided by ServyLink does not make ServyLink responsible for the underlying transaction or require ServyLink to issue refunds, pay damages, complete work, repair work, or otherwise satisfy obligations belonging to a Service Provider or Consumer.

18.DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVYLINK SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FUSION DIGITAL 365 LLC AND SERVYLINK DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.

SERVYLINK DOES NOT WARRANT THAT THE PLATFORM WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable law.

19. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FUSION DIGITAL 365 LLC, SERVYLINK, AND THEIR OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE SERVYLINK SERVICES.

WITHOUT LIMITING THE FOREGOING, SERVYLINK SHALL NOT BE RESPONSIBLE FOR DAMAGES ARISING FROM THE ACTS, OMISSIONS, NEGLIGENCE, MISCONDUCT, WORKMANSHIP, PRODUCTS, EMPLOYEES, SUBCONTRACTORS, REPRESENTATIONS, WARRANTIES, OR SERVICES OF AN INDEPENDENT SERVICE PROVIDER.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

20.INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Fusion Digital 365 LLC, ServyLink, and their respective members, managers, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

your violation of these Terms;

your unlawful use of ServyLink;

content or information you submit;

your infringement of another person’s rights; or

if you are a Service Provider, services performed, offered, advertised, or represented by you or persons acting on your behalf.

21.SUSPENSION AND TERMINATION

ServyLink may suspend, restrict, or terminate access to the ServyLink Services when reasonably necessary to protect the platform, its users, its business interests, or third parties, or when a user violates these Terms or applicable law.

Service Provider participation may also be governed by separate subscription, territory, partnership, listing, or other commercial agreements.

Termination does not eliminate obligations that by their nature should survive termination, including intellectual-property rights, disclaimers, limitations of liability, indemnification obligations, and dispute resolution provisions.

22.CHANGES TO SERVYLINK

ServyLink may modify, improve, discontinue, add, or remove platform features from time to time.

ServyLink does not guarantee that any particular feature, page design, marketing method, search strategy, integration, or functionality will remain permanently available.

23.MODIFICATIONS TO THESE TERMS

Fusion Digital 365 LLC may modify these Terms periodically.

When material changes are made, the updated Terms will be posted with a revised “Last Updated” date and any additional notice required by applicable law.

Continued use of ServyLink following the effective date of revised Terms constitutes acceptance to the extent permitted by applicable law.

24.ELECTRONIC COMMUNICATIONS

By using ServyLink or providing contact information, users acknowledge that ServyLink may communicate electronically regarding their use of the platform, requests initiated through the platform, account matters, security notices, and other operational communications.

Marketing communications will be handled in accordance with applicable law and available opt-out requirements.

25.PRIVACY

ServyLink’s collection, use, and disclosure of personal information are governed by the ServyLink Privacy Policy.

Users should review the Privacy Policy before submitting personal information through the platform.

26.COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS

Fusion Digital 365 LLC respects intellectual-property rights.

A copyright or trademark owner who believes material appearing through ServyLink infringes their rights may submit a written notice identifying the protected work, the allegedly infringing material, contact information for the complaining party, and other information reasonably necessary for ServyLink to evaluate the complaint.

ServyLink may remove or restrict access to allegedly infringing material when appropriate.

27. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles, except to the extent federal law applies.

28.DISPUTE RESOLUTION AND ARBITRATION

Before initiating formal proceedings, you and Fusion Digital 365 LLC agree to make a reasonable good-faith effort to resolve disputes informally.

To the fullest extent permitted by applicable law, disputes arising out of or relating to these Terms or the ServyLink Services that cannot be resolved informally shall be resolved through binding individual arbitration pursuant to the Federal Arbitration Act.

The arbitration shall be administered by a nationally recognized arbitration provider under the consumer or commercial rules applicable to the dispute.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court or seeking appropriate injunctive relief relating to intellectual-property rights or unauthorized use of the ServyLink platform.

This arbitration provision should be reviewed by qualified North Carolina counsel before publication to confirm the appropriate procedures, venue, notice requirements, fees, and consumer disclosures applicable to ServyLink.

29.CLASS ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND FUSION DIGITAL 365 LLC AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

This provision does not waive rights that applicable law does not permit the parties to waive.

30.SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions shall remain in effect.

31.NO WAIVER

Failure by Fusion Digital 365 LLC or ServyLink to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

32.ASSIGNMENT

Users may not assign their rights or obligations under these Terms without the prior written consent of Fusion Digital 365 LLC.

Fusion Digital 365 LLC may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, transfer of the ServyLink business, or other lawful business transaction.

33.ENTIRE AGREEMENT

These Terms, together with the ServyLink Privacy Policy and any other policies or agreements expressly incorporated into them, constitute the agreement between the user and Fusion Digital 365 LLC regarding general use of the ServyLink Services.

Service Providers may also be subject to separate partnership, subscription, listing, territory, advertising, or other commercial agreements.

SERVYLINK PARTNER AGREEMENT

Last Updated: September 15, 2026

This ServyLink Partner Agreement (“Agreement”) is entered into between Fusion Digital 365 LLC, a North Carolina limited liability company operating the ServyLink brand and platform (“ServyLink,” “we,” “us,” or “our”), and the business or individual enrolling in or participating in the ServyLink Network (“Partner,” “Service Provider,” “you,” or “your”).

This Agreement governs your participation in the ServyLink Network, including any listing, Partner website or webpage, territory, service category, lead or service-request delivery, verification designation, marketing service, subscription, or other ServyLink service provided to you.

By purchasing, activating, accepting, or continuing to use a ServyLink Partner plan or participating in the ServyLink Network, you agree to this Agreement.

IMPORTANT NOTICE

THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW THEM CAREFULLY.

1.SERVYLINK AND THE PARTNER NETWORK

ServyLink is a local-service discovery, marketing, and connection platform designed to help Consumers discover and connect with independent local Service Providers.

ServyLink may provide participating Partners with services that include:

  • a ServyLink Partner listing, profile, website, or webpage;
  • presentation of the Partner’s business, services, photographs, branding, and service areas;
  • search-engine optimization (“SEO”);
  • optimization for discovery through search engines, artificial-intelligence-powered search experiences, and other digital discovery platforms;
  • digital marketing and online visibility;
  • placement within the ServyLink Network;
  • territory or service-category participation;
  • ServyLink Verified or other designations, where applicable;
  • and Consumer service requests or leads.

The exact services provided to a Partner may depend on the Partner plan, territory, service category, promotional offer, order form, or other written arrangement.

2.SERVYLINK IS NOT THE SERVICE PROVIDER

ServyLink and Fusion Digital 365 LLC do not perform the home, property, landscaping, construction, maintenance, repair, improvement, or other services offered by participating Service Providers unless expressly stated otherwise.

The Partner is an independent business.

Nothing in this Agreement creates an employment relationship, agency, franchise, partnership, joint venture, fiduciary relationship, or similar relationship between ServyLink and the Partner.

The Partner independently determines:

  • its prices;
  • estimates and proposals;
  • work methods;
  • schedules;
  • employees;
  • subcontractors;
  • equipment;
  • materials;
  • contracts;
  • warranties;
  • payment terms;
  • and how services are performed.

ServyLink does not control the Partner’s work.

3.PARTNER PLANS

ServyLink may offer different participation levels, including plans currently identified as:

Local Partner

Featured Partner

Exclusive Partner

ServyLink may also offer free listings, promotional plans, customized plans, or other participation levels. Features, pricing, placement, territory rights, service categories, and other benefits may vary by plan.

The specific plan selected by the Partner and any applicable pricing or territory information may be identified during enrollment, checkout, an order form, invoice, proposal, or other written confirmation.

4.TERRITORIES AND SERVICE CATEGORIES

ServyLink may organize Partner participation according to geographic territories and service categories.

A territory may consist of a city, municipality, ZIP-code area, geographic market, or another geographic area established by ServyLink.

A Service Provider may participate in one or more service categories.

Territory participation is therefore generally based on the combination of:

Territory + Service Category

For example, participation in Lawn Mowing in a particular city does not automatically provide rights to Landscaping, Fertilization, Hardscaping, Roofing, or another category in that city.

Likewise, participation in one city does not automatically provide rights in another city.

5.EXCLUSIVE PARTNER TERRITORIES

Certain ServyLink plans may provide an Exclusive Partner with exclusive or limited placement for a specific combination of territory and service category.

When ServyLink expressly designates a Partner as the Exclusive Partner for a particular territory and service category, ServyLink will not intentionally enroll another Exclusive Partner for that same territory and service category during the applicable active subscription period, subject to the terms of this Agreement.

Exclusivity applies only to the specific territory and service category identified by ServyLink. Exclusivity does not mean that:

  • the Partner is the only contractor operating in the geographic area;
  • Consumers cannot find or hire other contractors outside ServyLink;
  • ServyLink guarantees Consumer demand;
  • ServyLink guarantees leads;
  • ServyLink guarantees search rankings;
  • ServyLink guarantees revenue;
  • ServyLink guarantees jobs; or

ServyLink guarantees that every Consumer in the territory will be connected with the Partner.

ServyLink may redirect or withhold a service request when reasonably necessary, including when the Partner:

  • does not provide the requested service;
  • does not serve the applicable property location;
  • is unavailable;
  • fails to respond within a reasonable period;
  • requests that leads be temporarily paused;
  • is suspended;
  • has failed to pay amounts due;
  • no longer satisfies applicable Partner requirements;
  • has materially breached this Agreement; or

is otherwise unable or inappropriate to receive the request.

ServyLink may reasonably define and administer territory boundaries and service categories, subject to any express written territory commitment made to the Partner.

6.CONSUMER SERVICE REQUESTS AND LEADS

Consumers may submit requests for services through ServyLink websites, listings, forms, pages, advertising, or other ServyLink channels.

ServyLink may provide an appropriate Partner with information concerning a Consumer’s requested service.

Information may include:

  • Consumer name;
  • telephone number;
  • email address;
  • service address or approximate service location;
  • requested service;
  • project description;
  • photographs;
  • timing information; and
  • other information voluntarily provided by the Consumer.

A Consumer service request or connection provided to a Partner is referred to in this Agreement as a “Lead.”

7.SERVYLINK DOES NOT SELL THE SAME LEAD TO MULTIPLE COMPETING PARTNERS

ServyLink’s current Lead model is designed differently from traditional shared-lead marketplaces. 4

ServyLink does not intentionally sell or distribute the same Consumer service request simultaneously to multiple competing ServyLink Partners for the purpose of having those Partners compete for that Lead.

Our goal is to route a service request to the appropriate Partner associated with the applicable service category and territory.

However, ServyLink may redirect a Lead to another appropriate Service Provider when reasonably necessary, including when the original Partner:

  • fails to respond;
  • declines the Lead;
  • is unavailable;
  • does not provide the requested service;
  • does not serve the location;
  • is suspended or terminated; or
  • cannot reasonably fulfill the request.

Nothing in this section guarantees that a Partner will receive every request originating within a particular geographic area.

8.LEADS ARE NOT GUARANTEED JOBS

A Lead represents an expression of potential Consumer interest.

A Lead is not a guaranteed customer, contract, appointment, sale, or job.

ServyLink does not guarantee:

  • the number of Leads a Partner will receive;
  • the frequency of Leads;
  • Consumer response rates;
  • that Consumer information will always be complete or accurate;
  • that a Consumer will answer a Partner’s communication;
  • that a Consumer will request an estimate;
  • that a Consumer will hire the Partner;
  • the value of any project;
  • the Consumer’s ability or willingness to pay;
  • that a project will proceed;
  •  Partner revenue;
  • profitability; or
  • return on investment.

Lead volume may vary substantially based on market demand, location, service category, seasonality, competition outside ServyLink, search-engine performance, advertising conditions, Consumer behavior, and other factors outside ServyLink’s control.

9.NO GUARANTEE OF SEO, AI SEARCH, TRAFFIC OR DIGITAL PERFORMANCE

ServyLink may create and optimize websites, listings, profiles, pages, content, and other digital assets intended to improve a Partner’s online visibility.

These efforts may include optimization for:

  • Google and other search engines;
  • local search;
  • organic search;
  • artificial-intelligence-powered search and answer platforms;
  • digital directories;
  • advertising;
  • conversion performance; and
  • other digital discovery channels.

ServyLink does not control search engines, artificial-intelligence platforms, advertising networks, algorithms, competitors, or Consumer behavior.

Accordingly, ServyLink does not guarantee:

  • any specific Google ranking;
  • first-page placement;
  • map placement;
  • AI recommendation or citation;
  • website traffic;
  • impressions;
  • clicks;
  • Leads;
  • conversions;
  • revenue; or
  • any specific digital-marketing result.

Search visibility and marketing results may require substantial time to develop and may fluctuate.

10.USE OF LEADS AND CONSUMER INFORMATION

Consumer information provided through ServyLink may be used only for legitimate purposes reasonably related to responding to the Consumer’s service request and providing the requested service.

The Partner may contact the Consumer directly concerning the Consumer’s request. 6

The Partner may not knowingly:

  • sell a Lead;
  • resell Consumer information;
  • distribute a Lead to another unrelated business;
  • transfer Consumer information for compensation;
  • publish Consumer contact information;
  • use Consumer information for fraudulent purposes;
  • use Consumer information for unlawful marketing;
  • use Consumer information in violation of applicable privacy or communications laws; or
  •  permit unauthorized parties to access Consumer information.

The Partner is responsible for protecting Consumer information after receiving it.

11.EMPLOYEES AND SUBCONTRACTORS

The Partner may use employees or legitimate subcontractors working directly on behalf of the Partner to respond to or perform services for Consumers.

The Partner remains responsible for the acts and omissions of its employees, subcontractors, representatives, and other persons performing services on its behalf.

The Partner must ensure that persons receiving access to Consumer information have a legitimate business need for that information and handle it appropriately.

12.PARTNER QUALIFICATIONS

The Partner represents that it is qualified and capable of performing the services it chooses to offer through ServyLink.

The Partner is solely responsible for determining and maintaining all legal requirements applicable to its business and work.

These may include, depending on the type of work:

  • business registrations;
  • licenses;
  • permits;
  • certifications;
  • insurance;
  • bonding;
  • occupational requirements;
  • tax registrations; and

  • other federal, state, or local requirements.

Requirements vary by jurisdiction and type of service.

ServyLink does not provide legal advice regarding which licenses, permits, insurance, or credentials are required for a Partner’s particular work.

13.INSURANCE

Partners are responsible for maintaining insurance appropriate for their business and services, including any insurance required by applicable law.

ServyLink may request evidence of insurance at enrollment or periodically afterward.

The Partner agrees to provide accurate and current information when requested and to notify ServyLink of material changes affecting information previously provided.

ServyLink’s receipt or review of insurance documentation does not make ServyLink the insurer or guarantor of the Partner.

14.SERVYLINK VERIFIED

Certain Partners may receive a ServyLink Verified badge or other designation.

ServyLink Verified indicates that the Partner satisfied ServyLink’s applicable verification criteria at the time the designation was issued.

Criteria may include confirmation of:

  • business information;
  • identity;
  • insurance;
  • business operations; and
  • other criteria established by ServyLink.

ServyLink Verified does not constitute a guarantee or warranty regarding:

  • workmanship;
  • safety;
  • pricing;
  • reliability;
  • availability;
  • employees;
  • subcontractors;
  • future conduct;
  • legal compliance; or
  • Consumer satisfaction.

ServyLink may periodically request updated information but does not guarantee continuous monitoring of every insurance policy, credential, employee, subcontractor, or business condition.

ServyLink may modify, suspend, or revoke a verification designation when appropriate.

15.ACCURACY OF PARTNER INFORMATION

The Partner represents that information provided to ServyLink is truthful, current, and materially accurate. The Partner agrees to reasonably update information when material changes occur. This includes information concerning:

  • business name;
  • contact information;
  • ownership or authorized representative;
  • service areas;
  • services offered;
  • insurance;
  • business status; and
  • other material information displayed or relied upon by ServyLink.

16.PARTNER CONTENT AND BRANDING

The Partner may provide ServyLink with:

  • business names;
  • logos;
  • trademarks;
  • photographs;
  • videos;
  • descriptions;
  • service information;
  • project photographs;
  • testimonials;
  • promotional materials; and
  • other content (“Partner Content”).

The Partner represents that it owns or has sufficient rights and permissions to provide and authorize ServyLink to use the Partner Content.

During the Partner’s participation in ServyLink, the Partner grants Fusion Digital 365 LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, resize, format, publish, display, distribute, and create derivative marketing materials from Partner Content as reasonably necessary to:

  • create and operate ServyLink listings;
  • create and operate Partner websites or pages;
  • advertise the Partner;
  • promote ServyLink;
  • perform SEO;
  • optimize digital content;
  • promote the ServyLink Network; and
  • provide the services contemplated by this Agreement.

The Partner retains ownership of its underlying trademarks, logos, photographs, and other intellectual property.

17.SERVYLINK-CREATED CONTENT AND DIGITAL ASSETS

ServyLink or Fusion Digital 365 LLC may create content, layouts, designs, copy, SEO structures, templates, graphics, technology, webpages, or other materials in connection with the Partner’s participation.

Except for Partner Content and other third-party materials, ServyLink-created platform materials, systems, templates, designs, software, and proprietary processes remain the property of Fusion Digital 365 LLC or its licensors.

The Partner receives only the rights expressly provided by the applicable plan or separate written agreement.

18.SERVYLINK BADGES AND MARKS

ServyLink may authorize eligible Partners to display ServyLink badges, including ServyLink Verified or other Partner designations.

Such authorization:

  • is limited;
  • is revocable;
  • does not transfer ownership of ServyLink intellectual property; and
  • may terminate when the Partner is no longer eligible or participating in the applicable program.

A Partner may not alter a ServyLink badge in a misleading manner or use it to suggest that ServyLink guarantees the Partner’s services.

Upon request or termination of authorization, the Partner must discontinue unauthorized use of the applicable ServyLink designation.

19.PARTNER RESPONSIBILITY FOR CONSUMER SERVICES

The Partner is solely responsible for services provided to Consumers.

This includes responsibility for:

  • property inspections;
  • determining project requirements;
  • estimates;
  • proposals;
  • pricing;
  • contracts;
  • deposits;
  • payment schedules;
  • financing arrangements offered by the Partner;
  • scheduling;
  • employees;
  • subcontractors;
  • equipment;
  • materials;
  • permits;
  • legally required licenses;
  • insurance;
  • workplace and job-site safety;
  • workmanship;
  • warranties;
  • property damage;
  • injuries;
  • refunds;
  • project completion; and
  • compliance with applicable law.

ServyLink is not a party to the service contract between the Partner and Consumer.

20.CONSUMER DISPUTES AND COMPLAINTS

The Partner should attempt to resolve complaints and disputes directly with the Consumer. ServyLink may, but is not obligated to:

  • receive Consumer complaints;
  • request information from the Partner;
  • contact the Partner concerning a complaint;
  • review the Partner’s continued eligibility;
  • suspend Leads;
  • suspend or remove verification;
  • suspend a listing; or
  • terminate the Partner’s participation in ServyLink.

ServyLink is not obligated to mediate, arbitrate, reimburse, settle, or resolve disputes between a Consumer and Partner.

21.COMPLIANCE WITH COMMUNICATION LAWS

The Partner is responsible for complying with laws applicable to its communications with Consumers. This includes, where applicable, laws and regulations governing:

  • telephone calls;
  • text messages;
  • email;
  • marketing;
  • telemarketing;
  • Do-Not-Call requirements;
  •   consent;
  • privacy; and
  • consumer protection.

A Consumer’s submission of a service request and ServyLink’s transmission of that request to the Partner permits the Partner to use the information to respond appropriately to that request.

It does not give the Partner unrestricted permission to use Consumer information for unrelated marketing or other unlawful purposes.

22.CONFIDENTIALITY

Non-public Consumer information, Lead information, ServyLink pricing information, proprietary business information, technology, Partner-network information, and other non-public information received through the ServyLink relationship may constitute confidential information.

The Partner agrees to protect confidential information using reasonable care and not disclose it except:

  • as reasonably necessary to provide services;
  • to authorized employees or subcontractors with a legitimate need to know;
  • with ServyLink’s authorization; or
  • as required by applicable law.

Consumer lists and Leads may not be sold, transferred, or commercially distributed.

23.SUBSCRIPTION FEES

Paid ServyLink plans may require recurring subscription fees.

Pricing will be disclosed through the applicable pricing page, proposal, checkout process, order form, invoice, or other written confirmation.

ServyLink does not currently charge Partners on a pay-per-Lead basis unless a separate written agreement expressly provides otherwise.

Subscription fees compensate ServyLink for the Partner program and associated services and are not dependent upon the Partner receiving or closing a particular number of Leads.

24.INITIAL SIX-MONTH COMMITMENT

Unless a different term is expressly stated in writing, paid ServyLink Partner plans have an initial commitment period of six (6) months beginning on the Partner’s activation date.

The Partner will be billed monthly during the initial commitment period.

The six-month commitment reflects the ongoing work involved in onboarding, building and optimizing Partner pages, establishing territory participation, SEO development, digital visibility, marketing infrastructure, and other ServyLink services.

Cancellation during the initial commitment period does not automatically eliminate amounts owed for the remainder of the agreed initial term, except where required by law or expressly agreed otherwise in writing by ServyLink.

25.MONTH-TO-MONTH RENEWAL AFTER INITIAL TERM

After completion of the initial six-month commitment, the Partner relationship will continue on a month-to month basis unless otherwise agreed in writing.

Either party may terminate the month-to-month relationship by providing at least thirty (30) days’ notice. The Partner remains responsible for charges incurred through the effective termination date.

26.AUTOMATIC BILLING

By enrolling in a paid recurring ServyLink plan, the Partner authorizes ServyLink and its payment processor to charge the payment method provided for applicable recurring fees, taxes, and authorized charges.

Recurring billing will continue according to the applicable billing cycle until the subscription is properly terminated.

The Partner is responsible for maintaining accurate and current billing information. ServyLink may suspend services when payment cannot be processed or an account becomes past due.

27.TAXES

Fees quoted by ServyLink may exclude applicable sales, use, or similar taxes unless expressly stated otherwise.

The Partner is responsible for applicable taxes imposed on the Partner’s purchase of ServyLink services, except taxes imposed directly on Fusion Digital 365 LLC’s income.

28.PRICE CHANGES

ServyLink may change pricing for future subscription periods.

Any price change applicable to an existing Partner will be communicated in advance as required by applicable law or the Partner’s agreement.

A price change will not retroactively alter amounts already properly charged.

29.SUSPENSION

ServyLink may suspend a Partner’s listing, Lead delivery, verification designation, territory benefits, or other participation when reasonably necessary because of:

  • nonpayment;
  • suspected fraud;
  • Consumer safety concerns;
  • repeated Consumer complaints;
  • misuse of Leads;
  • inaccurate information;
  • misuse of ServyLink branding;
  • violation of law;
  • material violation of this Agreement; or
  • conduct reasonably determined to threaten Consumers, ServyLink, or the integrity of the ServyLink Network.

Suspension does not necessarily terminate amounts already owed under an existing subscription commitment.

30.TERMINATION BY SERVYLINK

ServyLink may terminate a Partner’s participation for material breach, unlawful conduct, nonpayment, misuse of Consumer information, fraud, significant safety concerns, repeated serious Consumer complaints, or other substantial violations of this Agreement.

Where reasonable under the circumstances, ServyLink may provide an opportunity to correct a violation.

ServyLink may immediately terminate participation when reasonably necessary to protect Consumers, data, ServyLink, or others.

31.EFFECT OF TERMINATION

Upon termination or expiration:

  • ServyLink may stop sending Leads;
  • territory or category rights terminate;
  • exclusivity rights terminate;
  • Partner access to applicable ServyLink systems may terminate; 15
  • ServyLink may remove or modify Partner listings;
  • authorization to use ServyLink badges may terminate; and
  • unpaid amounts remain due.

ServyLink may retain information and records as permitted by its Privacy Policy and applicable law.

Provisions that by their nature should survive termination—including confidentiality, intellectual-property provisions, payment obligations, limitations of liability, indemnification, dispute resolution, and obligations concerning Consumer information—will survive termination.

32.NO GUARANTEE OF CONTINUED TERRITORY AFTER TERMINATION

When a Partner’s Exclusive Partner status, subscription, or territory participation terminates, ServyLink may make that territory and service category available to another Service Provider.

ServyLink is not required to hold or reserve the former Partner’s territory after termination. If the former Partner later wishes to return, availability and pricing may have changed.

33.ACCEPTABLE USE

Partners may not:

  • misuse ServyLink systems;
  • scrape or harvest Consumer information;
  • attempt unauthorized access;
  • interfere with ServyLink technology;
  • submit fraudulent information;
  • impersonate another business;
  • manipulate reviews;
  • distribute malware;
  • use Leads for unlawful purposes;
  • sell Consumer information;
  • misrepresent ServyLink’s relationship with the Partner; or
  • engage in conduct intended to damage or circumvent ServyLink’s systems or business model. ServyLink may take reasonable measures to investigate and prevent misuse.

34.THIRD-PARTY SERVICES

ServyLink may use or integrate third-party technology providers, including website hosting, analytics, advertising, payment processing, forms, email, security, and other business services.

ServyLink is not responsible for outages, failures, changes, or actions of independent third-party services outside ServyLink’s reasonable control.

35.NO WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, SERVYLINK SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FUSION DIGITAL 365 LLC DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND PERFORMANCE TO THE EXTENT PERMITTED BY LAW.

SERVYLINK DOES NOT WARRANT THAT THE PLATFORM, LISTINGS, WEBSITES, LEADS, SEO SERVICES, MARKETING SERVICES, OR OTHER SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY PARTICULAR BUSINESS RESULT.

36.LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FUSION DIGITAL 365 LLC, SERVYLINK, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SERVYLINK SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF FUSION DIGITAL 365 LLC ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE PARTNER TO SERVYLINK DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this Agreement excludes liability that cannot legally be excluded or limited.

37.INDEMNIFICATION

To the fullest extent permitted by law, the Partner agrees to defend, indemnify, and hold harmless Fusion Digital 365 LLC, ServyLink, and their owners, officers, employees, contractors, agents, affiliates, successors,

and assigns from third-party claims, liabilities, losses, damages, judgments, penalties, fines, costs, and reasonable attorneys’ fees arising out of or relating to:

  • services performed or offered by the Partner;
  • Partner contracts with Consumers;
  •  Partner employees or subcontractors;
  • personal injury or property damage related to Partner services;
  • Partner negligence or misconduct;
  •  Partner advertising or representations;
  • Partner Content;
  • intellectual-property infringement caused by Partner Content;
  • misuse or unauthorized disclosure of Consumer information;
  • unlawful telephone, text-message, email, or marketing communications;
  • violation of applicable law; or
  • material violation of this Agreement.

38.INTELLECTUAL PROPERTY

ServyLink, the ServyLink name, logos, badges, designs, platform technology, templates, proprietary content, and related intellectual property belong to Fusion Digital 365 LLC or their respective licensors.

No ownership interest is transferred to the Partner.

The Partner may use ServyLink marks only when expressly authorized and only in accordance with applicable ServyLink guidelines.

39.MODIFICATIONS TO SERVYLINK SERVICES

ServyLink may modify, improve, replace, add, or discontinue platform features and services.

ServyLink may also modify the way listings, profiles, websites, search experiences, Lead-routing systems, verification programs, or Partner features operate.

ServyLink will honor express contractual commitments concerning paid Partner plans during their applicable term except where modification is reasonably required by law, security, third-party platform changes, or circumstances outside ServyLink’s reasonable control.

40.MODIFICATIONS TO THIS AGREEMENT

ServyLink may update this Agreement from time to time.

Updated versions may be posted through ServyLink or otherwise provided to Partners. When required by applicable law, ServyLink will provide appropriate advance notice of material changes. Changes will apply prospectively unless otherwise permitted by law.

41.GOVERNING LAW

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, together with applicable federal law.

42.INFORMAL DISPUTE RESOLUTION

Before initiating formal proceedings, the Partner and Fusion Digital 365 LLC agree to make a good-faith effort to resolve disputes informally.

A party asserting a dispute should provide written notice describing the nature of the dispute and requested resolution.

The parties will have a reasonable opportunity to attempt resolution before arbitration is initiated, except where immediate injunctive or other emergency relief is reasonably necessary.

43.BINDING INDIVIDUAL ARBITRATION

To the fullest extent permitted by applicable law, disputes arising out of or relating to this Agreement, the Partner’s participation in ServyLink, or ServyLink services that cannot be resolved informally will be resolved through binding individual arbitration rather than a lawsuit in court.

The arbitration agreement is governed by the Federal Arbitration Act.

The arbitration will be conducted by a nationally recognized arbitration provider under its applicable commercial or consumer rules, as appropriate to the dispute.

The arbitrator may award remedies available under applicable law on an individual basis.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court or seeking relief that applicable law expressly permits to be pursued in court.

This arbitration provision should be reviewed by qualified North Carolina counsel before publication and use.

44.CLASS ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTNER AND FUSION DIGITAL 365 LLC AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN THEIR INDIVIDUAL CAPACITIES.

NEITHER PARTY WILL SEEK TO HAVE A DISPUTE HEARD AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION EXCEPT WHERE SUCH WAIVER IS PROHIBITED BY APPLICABLE LAW.

45.ASSIGNMENT

The Partner may not assign or transfer this Agreement, an Exclusive Partner territory, or other Partner rights without ServyLink’s prior written consent.

Fusion Digital 365 LLC may assign this Agreement in connection with a merger, acquisition, reorganization, sale of ServyLink, transfer of substantially all related assets, or similar business transaction.

46.SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

47.NO WAIVER

Failure by either party to enforce a provision of this Agreement does not constitute a waiver of that provision or any other provision.

48.ENTIRE AGREEMENT

This Agreement, together with the applicable Partner plan, order form, proposal, invoice, checkout terms, ServyLink Terms of Use, Privacy Policy, and any other agreement expressly incorporated by reference, constitutes the agreement governing the Partner’s participation in ServyLink.

If a separately signed Partner order form or written agreement expressly conflicts with this Agreement regarding pricing, territory, service category, or subscription term, the specifically negotiated written provision will control with respect to that subject.

49.ELECTRONIC ACCEPTANCE

The Partner agrees that electronic acceptance, electronic signatures, checkbox acceptance, online enrollment, or other electronic methods may be used to enter into this Agreement to the extent permitted by law.

Electronic records may be maintained as evidence of acceptance.
